Terms of Service
Last updated: March 2026
1. Service description
Orqira is an AI project automation platform operated by Orqira. It provides a hosted control plane and desktop client that help software teams orchestrate multi-project Codex agent workflows. Orqira is designed for use with your own OpenAI Codex subscription — we do not resell or proxy model usage on your behalf. You are responsible for your own Codex API account, usage limits, and associated costs.
2. Subscription terms
- Subscriptions are priced at EUR 20 per seat per month, billed monthly via Stripe.
- Subscriptions auto-renew at the end of each billing period unless cancelled before renewal.
- Prices are exclusive of any applicable taxes. VAT or similar taxes may be added at checkout depending on your location.
- We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
3. Seat policy
Each seat permits one active user identity to be logged into the Orqira control plane at a time. Active sessions are enforced by short-lived server-side leases with heartbeat renewal. A second login on a different device using the same identity will not succeed while an active lease is held, unless the first session expires or is explicitly signed out. Sharing seat credentials across multiple people is not permitted.
4. Acceptable use
You agree not to:
- Use Orqira in a way that violates any applicable law or regulation.
- Attempt to reverse-engineer, extract, or copy any server-side playbook content, foundation manuals, or prompt strategy delivered by the Orqira control plane.
- Scrape or programmatically extract data from the Orqira API beyond normal product use.
- Use Orqira to facilitate abuse of third-party services, including OpenAI's Codex API.
- Share your login credentials with other people or use automated means to circumvent seat-based access controls.
You are solely responsible for the content and outputs of Codex runs you initiate through Orqira.
5. Intellectual property
- Vendor-owned — Orqira foundation manuals, role manuals, prompt strategy, and the hosted control plane software remain the exclusive property of Orqira.
- Customer-owned — domain documentation, task files, workspace overlays, and any other content you create and upload to Orqira remain your property.
6. Termination
- You may cancel your subscription at any time through the billing portal. Access continues until the end of your current paid billing period; no partial-month refunds are issued.
- If a payment fails and remains unresolved, your subscription will be suspended after a 7-day grace period.
- We reserve the right to terminate accounts that violate these terms, with or without notice, at our discretion.
7. Disclaimer of warranties
Orqira is provided "as is" without warranty of any kind. We do not guarantee uninterrupted availability, and we are not liable for any loss or damage arising from service outages, data loss, or AI-generated outputs. To the maximum extent permitted by applicable law, our total liability is limited to the fees you paid in the three months preceding the claim.
8. Governing law
These terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ireland.
